Japanese law treats a dismissal as void where it lacks objectively reasonable grounds and is not socially acceptable, and the employer carries the burden on both limbs. Paying thirty days in lieu of notice satisfies a procedural rule and does nothing for validity. Where a dismissal is void the contract is treated as never having ended, with uncapped back pay. We set out what this means for your role and your performance management before you make an offer.
An employer with ten or more staff must hold Rules of Employment filed with the Labor Standards Inspection Office, and no overtime is lawful at all without a separate overtime agreement also filed in advance. Disciplinary grounds that are not in the Rules of Employment cannot be relied on. Komp’s entity holds both, so your team is covered from the first day rather than from whenever someone notices.
The Immigration Services Agency now applies specific requirements to visa applications made through dispatch and Employer of Record arrangements. The end client must be confirmed at the time of application, pledges are required from both the employer and the client, and the stay is tied to the engagement. We tell you what is achievable for your role before you make an offer.
Japan withholds income tax monthly and then reconciles it through a year-end adjustment, while resident tax is collected separately on a June to May cycle based on the prior year’s income. Foreign employers routinely miss the resident tax cycle entirely and discover it when an employee leaves mid-year. Komp runs both.

Before Komp, we had no unified view of our contractors and EOR workforce. Today HR and Finance operate from the same real-time data.
Komp didn't just simplify global hiring. They gave us a command center for scaling internationally. Instead of waiting months to establish an entity, we onboarded talent compliantly in just days.
Komp gave us the compliance infrastructure to operate confidently across regulated markets, without increasing operational overhead.
As our international footprint expanded, maintaining consistency across workforce processes became challenging. Komp helped us establish a scalable framework that supports operational efficiency and compliance confidence.
We finally have systems of scale that move as fast as our product teams. KOMP didn’t just reduce admin burden, they gave us infrastructure we can actually build on.
Global hiring evolved from a cross-functional burden into a coordinated operating model. For the first time, HR, Finance, and Legal were looking at the same numbers in the same place.
An Employer of Record (EOR) in Japan is a locally registered company that becomes the legal employer of your Japanese workforce. It lets companies based anywhere hire people in Tokyo, Osaka, Nagoya, or anywhere else in the country without incorporating a kabushiki kaisha or godo kaisha, registering a company seal, or going through the corporate bank account process.
The EOR takes on the statutory employer duties, including the employment documentation and Rules of Employment, JPY payroll, social and labor insurance, monthly tax withholding and the year-end adjustment, resident tax special collection, statutory leave including the mandatory five-day taking obligation, and the dismissal rules. You set objectives and judge the output of the work.
Komp delivers this as part of a single workforce platform, so your Japan employees sit alongside contractors, EOR workers, and direct employees in other countries, governed by the same data, workflows, and controls.
A Japanese entity becomes the legal employer for your Japan team members and takes on their statutory liabilities, while you set direction and judge output. Here is what that looks like in practice.
Skip the Legal Affairs Bureau registration, the articles notarization a stock company requires, the company seal registration, the social and labor insurance establishment files, and above all the corporate bank account, which Japanese banks have tightened substantially and which newly incorporated foreign-owned companies frequently struggle to open at all.
Komp Activate runs onboarding, Japanese-language documentation, and benefits; Komp PayOps runs JPY payroll with every contribution line, the year-end adjustment, and resident tax; Komp TimeOps tracks working time against the statutory overtime caps and the leave-taking obligation; and offboarding is handled within the realistic Japanese framework rather than an assumed one.
Komp Workforce gives HR, Finance, and Legal a single source of truth for Japan and global headcount, covering payroll status, fully loaded employer costs, leave balances and the five-day obligation, visa and residence expiry dates, and compliance alerts, with audit trails built in.
See How It Works →Komp manages every part of the Japanese employment relationship so your team can focus on the work, not the paperwork.
An employer with ten or more employees must prepare Rules of Employment, consult the employee representative, and file them with the Labor Standards Inspection Office. Separately, no overtime or holiday work is lawful at all unless a labor-management agreement has been concluded and filed in advance. Disciplinary grounds not written in the Rules of Employment cannot be relied on later. Komp’s entity holds both documents and keeps them current.
Employees must receive written notice of the key working conditions, and in practice the documentation that governs the relationship needs to be in Japanese because that is the language of the inspection office and the labor tribunal. Fixed-term arrangements carry their own rules, including conversion to indefinite employment after a defined period of renewals.
Komp PayOps calculates monthly payroll and applies health insurance at the prefectural rate, long-term care insurance for employees in the applicable age band, employees’ pension insurance, employment insurance, workers’ accident compensation which is employer-funded and industry-rated, and the child-rearing support levy introduced from April 2026, which is a new line that payroll systems and payslips must reflect.
Income tax is withheld monthly and reconciled through a year-end adjustment that settles the employee’s liability, so most employees never file a return. Getting the adjustment wrong pushes employees into filing personally and is a reliable source of complaints.
Resident tax is assessed on the prior calendar year’s income and collected by the employer in twelve instalments from June to May of the following year, remitted to each employee’s municipality. It is a separate cycle from income tax, it follows the employee’s address rather than the workplace, and it has its own rules when someone joins or leaves mid-year. Foreign employers miss it more often than any other Japanese payroll obligation.
Komp TimeOps tracks the statutory working week, overtime premiums including the higher rate that applies above a monthly threshold, late-night and holiday premiums, and the statutory overtime ceilings, which are capped monthly and annually with limited exceptions. Exceeding them is a criminal matter rather than a civil one.
Paid annual leave accrues from six months of service and rises with tenure, and since the work style reforms the employer must ensure that employees granted ten or more days take at least five of them each year. The obligation sits on the employer, not the employee, and failure is penalized. Komp tracks it and prompts before the window closes.
Because unilateral dismissal is so constrained, most separations in Japan are achieved by agreement following a properly conducted conversation, documented in a separation agreement. Komp manages that process within the rules, including the point at which persistence after a clear refusal becomes actionable, rather than treating notice as a termination route.
See How It Works →Incorporating in Japan is more accessible than it used to be, since the requirement for a Japan-resident representative director was removed in 2015. The friction has moved downstream, and it is worth being precise about where.
| Criteria | Employer of Record (Komp) | Your Own Japanese Entity |
|---|---|---|
| Best suited for | Market entry, small teams, specialist hires, putting freelance arrangements on a lawful footing | Selling to Japanese customers at scale, holding licenses, or running a long-term operating business |
| Incorporation | Not required | Available with no minimum capital and no resident director requirement since 2015 |
| Time to first hire | As soon as the candidate accepts | Registration is the easy part; a functioning entity depends on banking |
| Corporate bank account | Not required | The real bottleneck, with banks applying substance tests that newly incorporated foreign-owned companies often fail |
| Rules of Employment and overtime agreement | Held and filed by Komp’s entity | Your obligation, and overtime is unlawful until the agreement is filed |
| Dismissal exposure | Managed within the statutory framework by an experienced local employer | Yours, with void dismissals producing uncapped back pay |
| Compliance ownership | Managed by Komp with AI-assisted monitoring and human review | Your responsibility, including social insurance, year-end adjustment, and resident tax |
| Workforce visibility | Japan data unified with your global workforce in one platform | Often a separate local payroll provider and a separate HR system |
Japan is one of the few markets where the legal structure behind an Employer of Record carries direct consequences for the client, not only for the provider, so it is worth setting out plainly.
Where a Japanese company employs a worker and another company directs and supervises that worker’s day-to-day work, Japanese law treats the arrangement as worker dispatch. Operating a dispatch business requires a license from the Minister of Health, Labor and Welfare, with substantive financial and operational conditions attached. Receiving workers from an unlicensed provider is a separate offence committed by the receiving company and dressing the arrangement up as a service contract while the client in fact directs the work is treated the same way. There is also a rule under which a client that knowingly receives workers through an unlicensed provider, or through a disguised contracting arrangement, is deemed to have offered the worker a direct employment contract on the same terms, which the worker may accept.
The practical implications for anyone evaluating a Japan EOR are therefore specific, and we would suggest putting the same questions to every provider including us. Ask which Japanese entity employs your people. Ask whether it holds a worker dispatch license. Ask how the arrangement is structured given that you will inevitably want to set objectives for the person you are paying for. Komp sets this out in writing before anything is signed, because in Japan the answer affects your exposure and not only ours.
EOR pricing in Japan varies by provider, service scope, and team size. The comparison worth running is not the fee alone. It is the fee against incorporation, a company seal, local accounting and the social and labor insurance filing cycle, bilingual HR support, and the months of banking delay before a new entity can pay anyone at all.
Japanese employer cost is also structured differently from Western packages in ways that change the total. Statutory contributions sit in the mid-teens as a percentage, with health insurance set by prefecture and revised each April, pension at a nationally uniform rate, and a new child-rearing support levy from April 2026. Beyond that, market compensation norms commonly include bi-annual bonuses, a commuting allowance, and in many companies a retirement allowance, none of which appear in a base salary comparison but all of which appear in an offer a candidate will accept.
| Cost line | Who pays | How it behaves |
|---|---|---|
| Health and long-term care insurance | Employer and employee, split evenly | Health insurance rates are set by prefecture and revised each April; long-term care applies only to employees in the statutory age band |
| Employees’ pension insurance | Employer and employee, split evenly | A nationally uniform rate applied to a graded standard remuneration scale, so the contribution plateaus above the top grade |
| Employment and workers’ accident insurance | Employer and employee for the former, employer only for the latter | Employment insurance is a small, matched percentage; accident insurance is employer-funded and rated by industry risk |
| Child-rearing support levy | Employer and employee | A new contribution collected alongside health insurance from April 2026, rising in stages over the following years |
| Market compensation norms | Employer | Bi-annual bonuses, commuting allowance, and in many companies a retirement allowance; not statutory but expected, and material to an acceptable offer |
Place engineering, product, solutions, and customer success staff in a market where enterprise buyers expect local presence and local-language support, without committing to a subsidiary before the revenue case is proven.
Japan remains one of the deepest engineering and precision manufacturing markets in the world. Place quality, sourcing, and application engineering staff close to the customers and suppliers who justify the investment.
Japanese enterprise sales cycles are long and relationship-led, and the first two or three hires usually precede any revenue. An EOR covers that period without an entity sitting idle through it.
Engaging an individual in Japan under your direction has become more burdensome rather than safer, following the freelance protection legislation in force since late 2024. A reclassified contractor becomes an employee retrospectively, with back pay exposure and full protection against dismissal.
An established employer with a substantial withholding history is assessed in a lighter documentary category than a newly incorporated subsidiary, which materially affects the application. This is a genuine and legitimate advantage, within the rules that changed in March 2026.
Get predictable costs, consolidated invoicing, the statutory documentation actually in place, and audit-ready records for every Japan hire.
Many providers can put a Japan employee on payroll. Komp is built as workforce infrastructure, combining AI intelligence, owned payment rails, and human governance so you can grow in Japan with confidence.
Autonomous agents continuously check payroll, classification, contracts, leave-taking obligations, statutory deadlines, and regulatory change. Recommendations are surfaced for review before anything is executed: autonomous intelligence, human control.
Most providers describe a thirty-day notice period and stop there. In Japan notice is a procedural rule that does nothing for the validity of a dismissal, and a void dismissal means the contract never ended. We set out the realistic exit position at the first conversation, so it informs the hiring decision rather than surfacing afterwards.
Rules of Employment filed, an overtime agreement filed before any overtime is worked, and disciplinary grounds written down. These are not optional; they are prerequisites, and an employer that lacks them loses arguments it would otherwise win.
The Immigration Services Agency now applies specific documentary requirements to visa applications made through dispatch and Employer of Record arrangements, including confirmation of the end client and pledges from both sides. Applications that ignore them are refused, and failure can affect other applications at the same employer.
AES-256 encryption, SOC 2 Type II, ISO 27001, GDPR compliance, role-based access control, and AWS hosting with multi-region redundancy protect your Japan employee data, alongside Act on the Protection of Personal Information obligations.
Komp Activate, Komp Workforce, Komp TimeOps, and Komp PayOps connect hiring, workforce records, time, and pay across Japan and 150+ countries.
Start Hiring in Japan →Japanese employers answer to the Labor Standards Inspection Office for employment standards, which are criminally enforced, to the Japan Pension Service and the health insurance associations for contributions, to the National Tax Agency and the municipalities for tax, and to the labor tribunals for disputes. These are the areas that matter most, and how Komp covers them.
A dismissal that lacks objectively reasonable grounds and is not socially acceptable is treated as an abuse of right and is void. Both limbs must be satisfied, and the employer carries the burden on each. Poor performance on its own is not reasonable grounds; courts expect documented objectives, specific warnings, genuine remedial support, and real attempts at reassignment within the company before dismissal is considered.
The Labor Standards Act requires thirty days' notice or payment in lieu, and breach is a criminal matter. But that provision governs procedure, not validity, which is governed separately. Paying thirty days and walking someone out produces a dismissal that is procedurally compliant and substantively void. There is no mechanism in Japanese law by which money buys a lawful unilateral dismissal, and this is the most expensive misunderstanding foreign employers bring with them.
Economic dismissal faces an additional judge-made test: genuine business necessity for the reduction, discharge of the duty to make efforts to avoid dismissal including a real voluntary redundancy program, rational and consistently applied selection criteria, and proper consultation with the union or employee representatives. Failure on any one is usually decisive, and skipping the voluntary program is the most common reason employers lose.
The contract is treated as never having ended. The remedy is reinstatement in principle, with full back pay from the dismissal date to judgment, uncapped, commonly running to a year or more in a litigated case, and with social insurance reinstated for the intervening period. The labor tribunal resolves most cases within a few months at low cost to the employee, which makes challenge economically rational.
Probation is an indefinite contract with a reserved right of cancellation, so declining to confirm employment is a dismissal, assessed on a somewhat broader standard but still within the same framework. Only the first fourteen days escape the notice requirement. Probation is a weak de-risking mechanism and should not be treated as a trial period in the Western sense.
An employer with ten or more employees must prepare Rules of Employment covering working hours, wages, and the grounds and procedure for discipline and dismissal, consult the employee representative, file them with the Labor Standards Inspection Office, and make them available to employees. A disciplinary ground not written into them generally cannot be relied on, which means the absence of a proper rulebook can be fatal to an otherwise sound case.
No overtime or holiday work is lawful unless a labor-management agreement has been concluded with the union or the employee representative and filed with the inspection office in advance. Statutory ceilings then apply monthly and annually with limited exceptions. This is criminally enforced, and an employer working overtime without a filed agreement is in breach regardless of whether the overtime was paid.
Health insurance at a rate set by prefecture and revised each April, long-term care insurance for employees within the statutory age band, employees' pension insurance at a nationally uniform rate, employment insurance, and employer-funded workers' accident compensation rated by industry. A child-rearing support levy was added from April 2026, collected alongside health insurance and rising in stages.
Income tax is withheld monthly and reconciled through a year-end adjustment that settles most employees' liability without a personal return. The employer is responsible for the calculation, and errors push employees into filing themselves.
Resident tax is assessed on the prior calendar year's income and collected by the employer in twelve instalments from June to May, remitted to each employee's municipality. It operates on a different cycle from income tax, follows the employee's registered address, and has its own treatment when someone joins or leaves part way through the year.
Paid leave accrues from six months of service and increases with tenure. Since the work style reforms, an employer must ensure that employees granted ten or more days take at least five of them within the year, designating dates if necessary. The duty sits on the employer and failure is penalized per employee.
Legislation in force since late 2024 imposes obligations on businesses commissioning work from individual freelancers, including written terms, payment within defined periods, and notice and reason-giving duties for longer engagements. Separately, a reclassified contractor becomes an employee retrospectively, bringing unpaid overtime within the wage claim limitation period, retrospective contributions, accrued leave, and the full protection against dismissal.
The Thing Foreign Employers Get Wrong About Japan
In Japan, paying notice does not end an employment relationship. This is the single most expensive misunderstanding foreign companies bring to the Japanese market, and it comes from reading across from markets where termination on notice without cause is ordinary. Japanese law separates the two questions completely. The Labor Standards Act requires thirty days' notice or payment in lieu, and that is a procedural requirement enforced criminally. Validity is governed separately, by a provision stating that a dismissal lacking objectively reasonable grounds and not socially acceptable is an abuse of right and void.
Both limbs must be satisfied, the employer carries the burden on each, and poor performance alone does not meet the first without a documented record of objectives, warnings, remedial support, and genuine attempts at reassignment. Where a dismissal is void, the consequence is not damages but nullity: the contract is treated as never having ended, which means reinstatement in principle and back pay from the dismissal date to judgment, uncapped, with social insurance reinstated for the whole period. Because the labor tribunal is fast and inexpensive for the employee, challenging a weak dismissal is economically rational even for modest salaries.
What follows is that separations in Japan are overwhelmingly achieved by agreement rather than by decision, through a properly conducted conversation and a documented settlement, and that process has its own rules about when persistence becomes coercion. None of this makes Japan a difficult place to employ people. It makes it a place where the hiring decision and the performance framework must be right at the start, because the correction mechanism available elsewhere does not exist here. We would rather set that out before you make an offer than after.
Japanese professional hiring concentrates heavily in the Tokyo metropolitan area, with substantial secondary markets around Osaka and Nagoya and a growing regional story in the south. Komp employs across the country on the same terms, applying the correct prefectural health insurance rate to each person.
The commercial, financial, and technology center and by some distance the deepest talent market in the country, covering regional headquarters, financial services, consulting, technology, and the Japanese operations of most multinationals.
The second commercial center, strong in pharmaceuticals, chemicals, electronics, trading houses, and manufacturing, with a distinct business culture and a cost base below Tokyo.
The automotive and precision manufacturing heartland, home to the deepest concentration of production engineering and supply chain talent in Japan, and the natural base for any business serving that industry.
The fastest-growing regional hub, with deliberate startup and inward investment policy, a young population, strong links to the rest of Asia, and a materially lower cost base than the major metropolitan areas.
Remote working is now well established in technology and professional services, and the working time rules apply the same way wherever the employee is based. Health insurance rates follow the prefecture of the employing establishment rather than the employee's home, which simplifies a distributed team.
Start Hiring in Japan →It is a locally registered company that legally employs workers in Japan on your behalf, taking responsibility for the employment documentation and Rules of Employment, JPY payroll, social and labor insurance, monthly withholding and the year-end adjustment, resident tax, statutory leave, and the dismissal rules. You set objectives and judge output; the Japanese entity carries the employer obligations, so you can hire without an entity of your own.
Because Komp already holds the Japanese entity, the Rules of Employment, the filed overtime agreement, and the insurance registrations, onboarding starts as soon as your candidate accepts. The timeline is then driven by documentation and insurance enrollment rather than incorporation and banking on your side. Where a work visa is needed, immigration processing sits on the critical path and should be planned separately.
Thirty days’ notice or payment in lieu is required, and failing to give it is a criminal breach. But that provision governs procedure, not whether the dismissal is valid. A separate rule makes a dismissal void where it lacks objectively reasonable grounds and is not socially acceptable, and the employer carries the burden on both. Paying notice and walking someone out produces a dismissal that is procedurally correct and legally void.
It is among the hardest in any developed market, and this is the single most important thing to understand before hiring there. There is no at-will employment and no route to termination on notice alone. Poor performance by itself is not sufficient grounds without a documented record of objectives, warnings, remedial support, and attempts at reassignment. Redundancy faces an additional four-part test including a genuine voluntary redundancy program. Where a dismissal is void the contract is treated as never having ended, with uncapped back pay. In practice most separations are achieved by agreement.
Health insurance and long-term care insurance for employees in the applicable age band, employees’ pension insurance, employment insurance, and employer-funded workers’ accident compensation, plus the child-rearing support levy introduced from April 2026. Paid annual leave accrues from six months of service and rises with tenure, and the employer must ensure that at least five days are taken each year by employees granted ten or more. Beyond the statutory minimum, bi-annual bonuses and a commuting allowance are market norms rather than legal requirements but are expected in most offers.
An employer with ten or more employees must prepare Rules of Employment covering working hours, wages, and the grounds and procedure for discipline and dismissal, consult the employee representative, and file them with the Labor Standards Inspection Office. They matter beyond the filing requirement, because a disciplinary ground not written into them generally cannot be relied on. Komp’s entity holds them, so your team is covered from the first day.
Only if a labor-management agreement permitting it has been concluded and filed with the inspection office in advance. Without one, overtime is unlawful regardless of whether it is paid. Once filed, statutory monthly and annual ceilings apply with limited exceptions, and overtime attracts premium pay with a higher rate above a monthly threshold, plus separate late-night and holiday premiums.
Income tax is withheld monthly and reconciled through a year-end adjustment that settles most employees’ liability without a personal return. Resident tax is separate: it is assessed on the prior calendar year’s income and collected by the employer in twelve instalments from June to May, remitted to each employee’s municipality. The two run on different cycles, and the resident tax cycle is the obligation foreign employers most often overlook entirely.
In many cases yes, and there is a genuine advantage in that an established employer with a substantial withholding history is assessed in a lighter documentary category than a newly incorporated subsidiary. But the Immigration Services Agency applies specific requirements to applications made through dispatch and Employer of Record arrangements, effective March 2026, including that the end client is confirmed at the time of application, that pledges are provided by both the employer and the client, and that the period of stay reflects the engagement. Some categories, including the visa for someone who will run a company, cannot be supported this way at all. Talk to us about the specific role before you make an offer.
Ask which Japanese entity employs your people and whether it holds a worker dispatch license. Japanese law treats an arrangement where one company employs and another directs the work as worker dispatch, which is a licensed activity, and receiving workers from an unlicensed provider is a separate offence committed by the receiving company. There is also a rule under which a client in that position can be deemed to have offered the worker direct employment. This is one of the few markets where the provider’s structure affects your exposure directly, so ask us and ask everyone else.
Yes, and it is a common path: use an EOR to establish the team and prove the market, then incorporate and transfer. The transfer needs handling properly, because continuity of service, accrued leave, and the terms of the new contract all matter, and an employee’s consent is required. Komp supports that transition rather than treating it as churn.
It reduces the risk but does not remove it, and any provider claiming otherwise is overstating the position. Permanent establishment turns on tax rules, principally whether you have a fixed place of business in Japan or a dependent agent habitually concluding contracts on your behalf, not on who administers payroll. Someone performing engineering, support, or back-office work carries lower exposure than a country manager negotiating and closing deals. Komp will flag where a role sits on that line before you hire.
It may be. Legislation in force since late 2024 imposes written terms, payment timing, and notice obligations on businesses commissioning work from individual freelancers, and separately the classification test looks at substance, including direction and supervision, whether the person can refuse work, and constraints on time and place. A reclassified contractor becomes an employee retrospectively, with unpaid overtime exposure, retrospective contributions, accrued leave, and the full protection against dismissal, meaning a person you thought you could stop using becomes one you cannot lawfully dismiss.
Komp is SOC 2 Type II certified, ISO 27001 certified, and GDPR compliant, uses AES-256 encryption with role-based access control, and is hosted on AWS with multi-region redundancy, aligned to Act on the Protection of Personal Information expectations.
